Supplier contract: check the clauses, secure the deadlines, renegotiate.

Three pages of small print, signed between two appointments. It gets expensive a year later: the contract renews quietly, the price creeps up, the liability sits with you. This guide shows which clauses to watch. The clause radar does the reading.

Three checks per day free, no account. The contract is read for the check only and discarded afterwards. Not legal advice.

03Seven clauses

These seven clauses get expensive later.

The clause radar looks for exactly these and tells you where they are.

  1. Automatic renewalMany contracts renew for another year if nobody gives notice in time. Check for how long, and whether the renewal runs at the old or at new prices.
  2. Notice periodThree or six months before the end of the term are common. Miss the last day and you are bound for another year. Work out the date before you sign.
  3. Price adjustment clauseMay the supplier change the price, when, by how much and against what measure? A fair clause names an official index, a threshold and a cap, and works in both directions.
  4. LiabilityMany suppliers cap their liability at the order value or exclude consequential loss. Check whether that matches the damage you would suffer if the service fails.
  5. Minimum purchase and exclusivityFixed volumes, minimum spend or a duty to buy only from this supplier bind you even when your demand drops.
  6. Payment terms and late feesPrepayment, short payment terms or high late fees shift the risk to you. Payment after delivery and acceptance protects you.
  7. Scope of workWhatever is not described is charged extra later. Does it say exactly what is delivered, in which quality, by when, and what happens with defects?

04Approach

How to handle a supplier contract.

  • Read contract and terms together: the critical part is often not in the contract itself but in the terms and conditions it refers to.
  • Negotiate before you sign: the clause radar proposes counter-wording for every critical clause. Send it along before you sign.
  • Secure the deadlines right away: the radar exports the deadlines with dates as a calendar file. In the Mac app the deadline guard reminds you 30 and 7 days ahead.
  • Include running contracts: a contract that is already running is worth checking too. The next notice date is your next negotiation date.
  • Know the limits: the radar is a pre-check from a purchasing point of view, not legal advice. For large sums, long terms or unclear clauses, a lawyer’s review is worth it. The radar prepares the questions.

05Questions and answers

What businesses ask us most often.

What does the clause radar check?

It reads the contract or terms from your purchasing point of view, marks automatic renewal, deadlines, price adjustment clauses and liability, and rates every clause as critical, check or fine, with the source and a counter-proposal. You also get the deadlines with dates, what is missing in the contract and questions for your legal team.

Which documents can I check?

A contract or terms as a PDF or photo, or you paste the text. In the free version AICTIONBOT™ reads up to 3 pages per document, with the Workbench licence long documents too.

Is my contract stored?

No. The contract is read for this one check only and discarded afterwards. You do not need an account.

Is this legal advice?

No. The clause radar is a pre-check from a purchasing point of view. It does not replace a review by a lawyer or your legal team. Always check the sources against the original.

What does the check cost?

Three AI runs per day are free. The Workbench licence at €14.99 per month or €149 per year lifts the daily limit and reads long documents. You can try it free for 7 days.

How do I keep track of the deadlines?

The clause radar exports the deadlines with dates as a calendar file you can add to any calendar. In the Mac app the deadline guard takes over the dates and reminds you 30 and 7 days ahead.

Who is it for?

For businesses without their own purchasing or legal department: trades, retail, law and accounting firms, practices, clubs and the mid-market.
